Terms of Use

Effective Date: 2025.02.18.

These Terms of Use (the “TOU” ) constitute a legally binding agreement between Gympiper Ltd. , operating as NOEX (” NOEX, ” “ we, ” “ us, ” or “ our ”), and you (” you, ” “ your ”). These TOU govern your use of our mobile application (the “App”) , website , and any other related services (collectively, the “ Service ”).

By clicking “I AGREE” or using the Service, you acknowledge that you have read, understood, and agree to be bound by these TOU.

This agreement is formed electronically and is not physically signed or registered . It does not constitute a written contract under any jurisdiction but is legally binding once accepted online . If you do not agree, you must stop using the Service immediately.

We reserve the right to modify these TOU at any time ( “Updates” ). Updates will be posted on our website and within the App. By continuing to use the Service, you accept the updated TOU. Unless stated otherwise, Updates become effective 30 days after posting.

• The Service is intended for users aged 18 and above . If you are under 18 , you must obtain parental or legal guardian consent before using the Service.
• By using NOEX, you confirm that you meet the age requirement.

• To use the Service, you must create an account (” Account ”) and provide accurate, complete, and up-to-date information.
• You are responsible for maintaining the confidentiality of your login credentials and agree not to share your credentials with others.
• If you suspect unauthorized account access, you must notify us immediately .

• Certain features of NOEX require a paid subscription (” Premium Features ”). Subscription plans and pricing are detailed in the App and are subject to change .
• By purchasing a subscription, you authorize NOEX or third-party payment processors to charge your payment method for recurring fees.
• All subscription fees are non-refundable , except as required by applicable law.

• Subscription fees do not include applicable taxes , duties, or charges. You are responsible for paying these in addition to the fees.

• NOEX reserves the right to suspend or terminate your Account if you violate these TOU .
• You may delete your Account by sending an email with “Delete Account” in the subject line to koller@noextraining.com .
• Some data may be retained in accordance with our Privacy Policy and legal obligations .

• Provide false information , including incorrect fitness or health data.
• Reverse-engineer, copy, or distribute NOEX’s technology or content.
• Interfere with NOEX’s security features.
• Use bots, automated scripts, or hacking methods to access or interact with NOEX.
• Upload illegal, offensive, misleading, or harmful content .
• Harass, stalk, or impersonate other users.
• Sell, rent, sublicense, or transfer your account .
• Use NOEX to promote or conduct illegal activities .

Failure to comply may result in account suspension or permanent termination .

• NOEX allows users to upload workout logs, images, videos, and other fitness-related content to the community platform.
• By uploading content, you grant NOEX a non-exclusive, royalty-free license to use, display, and distribute your content within the Service.

Acknowledge that content may be visible to other users based on your privacy settings.

Confirm you own or have rights to any content uploaded.

• Hate speech, harassment, or threats.
• Illegal, offensive, or misleading content.
• Copyrighted material without permission.
• False fitness or health claims.
• Spamming, phishing, or commercial promotions.

We reserve the right to suspend or terminate accounts violating these rules.

• You can control the visibility of your posts using the following privacy settings:
• Private : Content is visible only to you.
• Restricted Sharing : Content is visible only to selected followers or friends.
• Public : Content is visible to all NOEX users.
• NOEX does not use uploaded content for advertising without your explicit consent .

• NOEX may remove or restrict content that violates our policies, including but not limited to:
• Harassment, hate speech, or discrimination .
• Unauthorized sharing of personal or confidential data .
• Illegal, copyrighted, or inappropriate material .
• Sexually explicit or violent content .
• Images of minors without parental consent .
• Content moderation is automated and manually reviewed .

• You may delete uploaded content at any time. However:
• Deleted content may remain in NOEX’s backup system for up to 90 days before permanent removal.
• If you delete your Account, your posts may still be visible if they were shared publicly.

• NOEX AI analyzes user-generated content (e.g., uploaded videos, workout logs, and progress photos) to improve feedback quality.
• AI-powered form feedback features use image/video recognition to detect movement patterns, but NOEX does not store or use biometric data for other purposes.
• NOEX may anonymize and aggregate user data to improve AI recommendations and system efficiency.

• All purchases of digital workout plans, training programs, or other virtual content are final and non-refundable .
• NOEX is not responsible for the effectiveness or accuracy of third-party workout plans available on the platform.
• If you experience technical issues accessing purchased content , contact our customer support within 30 days .
• Subscriptions automatically renew unless canceled.
• NOEX does not offer refunds for partially used billing periods.
• If an incorrect price is displayed due to an error, NOEX may cancel the purchase and notify the user.

Under EU consumer law , you may withdraw from a digital purchase before accessing content. However, by purchasing a subscription, you agree that access starts immediately, waiving your right to withdrawal under Directive 2011/83/EU .

• NOEX may offer a referral program that allows users to earn credits for inviting new members.
• Credits are non-transferable and have no cash value .
• NOEX reserves the right to modify, suspend, or cancel the referral program at any time.

• NOEX may feature trainers, fitness experts, or third-party coaches.
• NOEX is not responsible for any inaccuracies in workout programs provided by third parties.
• Any disputes with a trainer must be resolved directly with them, not NOEX.

• NOEX may sell training plans, nutrition guides, or coaching services from independent creators.
• NOEX does not guarantee results from any third-party plans

• NOEX provides the Service “as is” without warranties of any kind.
• NOEX is not liable for:
• Injuries, damages, or health issues resulting from the use of our workout programs.
• Unauthorized access to your Account .
• Data loss or service interruptions .
• To the extent permitted by law, NOEX’s maximum liability is limited to the total amount you paid in the 12 months before a claim.

• NOEX does not guarantee uninterrupted service .
• We are not liable for data loss, bugs, or temporary downtime.

• NOEX provides informational content only and is not a substitute for professional medical advice .
• Users should consult a healthcare provider before starting any workout program.

If NOEX is found liable, our maximum liability is limited to the amount paid by you in the last 1 month .

You agree to defend, indemnify, and hold harmless NOEX from any claims, damages, losses, or expenses arising from:

• Your use of the Service.
• Violation of these TOU.
• Infringement of third-party rights.

• Your use of NOEX is subject to our Privacy Policy , which explains how we collect, store, and use your personal data .
• By using NOEX, you agree that we may process your fitness data, images, and other shared content .
• We implement reasonable security measures but cannot guarantee that all data transmissions are 100% secure .

• NOEX complies with GDPR and other applicable privacy laws.
• We collect, store, and process personal data per our Privacy Policy.
• Users may request data deletion by emailing [Insert Contact Email].

Data Storage & Security

• Deleted content may remain in backups for up to 90 days .
• NOEX is not liable for data loss due to technical failures or unauthorized access .

• NOEX uses AI-powered features to analyze workout patterns, performance metrics, and user preferences to provide personalized training recommendations.
• By using the Service, you consent to the collection and processing of fitness-related data (e.g., workout progress, exercise logs, recovery status, and engagement levels) to optimize AI-generated recommendations.
• Users can manage AI-driven data collection preferences via Privacy Settings in the NOEX app.

How AI Uses Your Data

Personalized Workouts: AI adjusts exercise recommendations based on past activities, preferences, and recovery status.

Habit Tracking & Optimization: AI suggests routines, badges, and streaks to enhance consistency.

Real-time Adjustments: NOEX AI adapts set/rep schemes and intensity based on progress.

The NOEX website and mobile application are considered copyrighted works. All rights reserved. The content available on the website and application (including text, images, videos, workout programs, and other materials) is the exclusive property of NOEX or its partners unless otherwise stated.

Use of Content

• Copying, distributing, selling, modifying, or using any content from the NOEX website or application without written permission from NOEX is strictly prohibited.
• Any material taken from the NOEX database may only be used with written consent and must include a reference to the original source.
• Reverse engineering, modifying, or processing any part of the website or application through automated means is prohibited.
• NOEX trademarks and branding elements may only be used with explicit permission.

User-Generated & Trainer Content

• Trainers and users may only upload content (such as workout videos, images, or programs) if they own the rights to them.
• By uploading content, trainers grant NOEX a perpetual, non-exclusive, and unrestricted right to use, modify, distribute, and publicly display the uploaded materials as part of the service.
• Trainers acknowledge that NOEX may use their uploaded content for marketing purposes and platform improvements.
• Trainers are not permitted to sell or commercially exploit their uploaded content outside of NOEX without a separate licensing agreement.

Copyright Violations & Legal Consequences

• In the event of copyright infringement, NOEX reserves the right to impose a penalty:
• Images : HUF 40,000 per image
• Text content : HUF 10,000 per word
• NOEX may conduct notarized documentation of copyright violations, with costs borne by the infringing party.
• NOEX reserves the right to take legal action against copyright infringement, including reporting violations to authorities and pursuing legal proceedings.

• NOEX reserves the right to suspend or terminate any account violating these TOU.
• Users will be notified before termination unless immediate action is required.

• If you have a dispute, you must first contact NOEX support .
• If unresolved, disputes will be settled through [Insert Arbitration/Mediation Provider] .
• EU-based users may seek alternative dispute resolution through their national consumer protection body .

• These TOU are governed by the laws of Hungary (or another jurisdiction if NOEX operates internationally).
• If any clause is found invalid, the remaining terms remain in effect .
• NOEX may update these TOU , with changes taking effect 30 days after posting .
